Giuseppe Cipriani's $1M Offer for Hotel Enjoy: Intense Negotiations

The Italo-Venezuelan entrepreneur Giuseppe Cipriani, a global reference in the luxury hotel and gastronomic sector, formalized an offer of 160 million dollars to acquire the entire share package of Baluma S.A., owner of the Enjoy Punta del Este hotel, one of the most emblematic tourist complexes in the region.

The proposal, presented about a month ago, generated an immediate exchange between both parties and led to the start of a due diligence process, a key stage to review the financial, operational, and legal status of the asset.

Differences in price, but negotiations remain open

Although the offered figure is attractive to several shareholders, the value sought by the current owners is around 240 million dollars. The gap between both positions — about 80 million — did not stop the dialogue, which continues at the corporate level with the participation of executives from the Chilean parent group Enjoy.

The local media Correo de Punta del Este reported that it tried to obtain statements from both Cipriani and Enjoy, but neither party issued public comments.

An asset with three decades of history in Punta del Este

The traditional complex, located on a plot of more than 42,000 m² in the Parada 4 area of La Mansa, was born as Conrad Punta del Este after a public tender awarded to Baluma S.A. for 9 million dollars (equivalent to about 20.6 million in updated values).

Inaugurated in 1997 under the management of Caesars Entertainment, the hotel quickly established itself as a regional icon, with international shows, poker tournaments, VIP tourism, and a first-class casino.

In 2013 it passed into the hands of Enjoy, which renamed it and expanded its services, maintaining its commitment to entertainment and strategic source markets, especially Brazil, with direct agreements with airlines to facilitate the arrival of players and tourists.

A move that could redefine the resort’s tourist map

The potential purchase of Enjoy would not only expand Cipriani’s presence in Punta del Este but would also avoid direct competition with his mega-project in Playa Brava, currently under development on the historic block 815.

That project — which combines ultra-premium hospitality, residences, casino, and commercial areas — aims to position itself as one of the most exclusive ventures on the continent. Having the two largest hotel icons of the resort under one strategy would substantially change the sector’s dynamics.

However, any transfer of ownership requires approval from the Uruguayan government due to the existing gaming concession. Additionally, the complex would need between 40 and 50 million dollars in investments to modernize its infrastructure and recover luxury standards.
